This website (www.hardpoint.co) and all associated content, services, and applications (collectively the “Site”) are owned and operated by Hardpoint (TB Advisory LLC), a Massachusetts Corporation (“the Company”).

• No Relationship: Your use of the Site or communication with Hardpoint via the Site does not create a consultant-client or professional relationship. Such a relationship is only formed upon the execution of a separate, written, and signed formal engagement agreement.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. 

4. LIMITATION OF LIABILITY 

THIS SECTION LIMITS THE TOTAL LIABILITY OF THE COMPANY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TB ADVISORY LLC (DBA HARDPOINT), ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE. 

This includes any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, loss of revenue, loss of profits, loss of business, or loss of data, even if foreseeable. 

CAP ON LIABILITY: IN NO EVENT WILL THE COLLECTIVE LIABILITY OF THE COMPANY EXCEED $100.00 USD. 

5. INDEMNIFICATION 

You agree to defend, indemnify, and hold harmless the Company and its officers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site. 

6. MANDATORY ARBITRATION & CLASS ACTION WAIVER 

• Arbitration: Any dispute or claim arising from these Terms or the Site shall be settled by binding arbitration in Boston, Massachusetts, rather than in court. 
• Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. 

7. INTELLECTUAL PROPERTY & AI RESTRICTIONS 

All Site content is the exclusive property of Hardpoint. 

• Standard Use: You are granted a limited, non-exclusive license to view the content for personal use. 
• AI/Machine Learning: You are strictly prohibited from using, downloading, or "scraping" any Content for the purpose of training, developing, or improving any artificial intelligence (AI) models or machine learning algorithms without a specific commercial license from Hardpoint. 

8. GOVERNING LAW 

All matters relating to the Site and these Terms shall be governed by and construed in accordance with the internal laws of the Commonwealth of Massachusetts without giving effect to any choice or conflict of law provision.
